Family Investment Companies (FICs) have become an increasingly popular option for tax and succession planning, especially following the Budget. This comprehensive in-person course will provide Private Client practitioners with a thorough understanding of what FICs are, how they operate, and their key advantages in structuring family wealth. We will explore the different FIC structures, share capital options, and the nuanced tax considerations that must be taken into account when advising clients.

The course will include:

  • Overview on where we are on BR/APR following the Autumn budget and how the restrictions will impact clients and their planning
  • How we use trusts ahead of an exit from a business to ringfence value outside the shareholder’s estate for IHT post-sale, and how this planning will be affected post April 2026
  • Why we use FICs rather than/alongside trusts
  • Compare and contrast FICs and trusts
  • Who are FICs for
  • How they can be structured. Ltd v unlimited.
  • How we use articles and shareholders agreements to mimic aspects of trusts
  • How FICs can be a tool for IHT planning – PETs to children to invest, use of growth shares held by trusts, assigning loans
  • Overview on the taxation of a FIC and how funds should be invested to maximise the tax efficiency
  • High level governance to be aware of and the need for advice on set up and ongoing (i.e. company returns, PSC)

Catriona is a Partner in the Private Client Team at Mills & Reeve. A trusted adviser, she is both a solicitor and chartered tax adviser, and helps individuals and families with high value and complex wealth planning and protection including:

  • Advising business owners on pre-sale exit planning, maximising valuable reliefs available
  • Advising and establishing family investment companies
  • Fulfilling philanthropic objectives through charitable trusts

Edward has over 20 years’ experience advising high and ultra high net worth individuals and families, including those coming to and leaving the UK. He looks after a diverse range of clients from non-doms and entrepreneurs to musicians and writers, public figures, and from landed estates to crypto traders and influencers.

Edward is a Chartered Tax Adviser (CTA), a member of the Association of Taxation Technicians (ATT), a member of the Society of Trust and Estate Practitioners (STEP) and a member of the Chartered Institute of Taxation’s Succession Taxes technical committee. He sits on the ICAEW Private Client Committee and is a member of the Addington Society.
